As per the scheme of amalgamation approved on Monday, Sonata would merge with BSS Microfinance Ltd on a going concern basis, Kotak Mahindra Bank said in a regulatory filing. The scheme would be subject to the approval of the respective shareholders and creditors of Sonata and BSS and the approval of the concerned National Company Law Tribunal (NCLT) and other regulatory authorities, it said. The combined net worth of Sonata and BSS is less than 2 per cent of the net worth of the bank, as on March 31, 2024, it said.

The merger of these two schemes will be effective from September 11. Individual communication is also being sent to existing unitholders of both schemes over email, wherever email ID is available. As a result of the merger, no new scheme will come into effect.

CDEL, which also owns and operates a resort, renders consultancy services and is engaged in the sale and purchase of coffee beans, had defaulted in the payment of coupon payments of redeemable non-convertible debentures (NCDs). The financial creditor had subscribed 1,000 NCDs through private placement and paid Rs 100 crore towards the subscription in March 2019.

On Thursday a NCLT bench, comprising Justices Virendrasingh G Bisht and Prabhat Kumar, directed IIHL to implement the resolution plan by August 10 and deposit the equity component of Rs 2,750 crore in an escrow account designated by the committee of creditors (CoC).
