L&T sets record date for its Rs 10,000 crore-buyback. Check details
Larsen and Toubro (L&T) has fixed September 12 as the record date for its Rs 10,000 crore buyback, which will be done through the tender route. The record date will determine the number of shareholders who will be eligible to participate in the buyback. The company has recently received shareholder's approval for the same. Under the proposed buyback of shares, L&T will take back 3.3 crore shares from shareholders at a maximum price of up to Rs 3,000 apiece, a 17% premium from the market price from the date of announcement. «The buyback committee may determine the specific price at which the buyback will be made, at an appropriate time, which will be subject to the final buyback offer price and adjust the number of equity shares within the buyback size,» L&T said. This is the first buyback announced by the company since the listing. The amount required by the company for the buyback is intended to be met out of current surplus or cash balances or cash available from internal accruals. Under a buyback, the company buys back its own shares from shareholders and it is seen as a tax-efficient way to give cash back to investors.

Netflix’s ‘Black Summer’: Will it be renewed for season 3 or canceled?
Black Summer Season 3 remains uncertain as the passage of time and lack of updates cast doubt on its continuation. Following a two-year wait for Season 2 after the first installment, it has now been over two years again with no indications of a third season. Given the prolonged silence, coupled with modest viewership numbers, speculations arise that Black Summer might have silently met its end. Black Summer, a Netflix Original horror series co-created by Karl Schaefer and John Hyams, serves as a prelude to the eccentric zombie show Z-Nation. The second season of Black Summer marked a notable improvement over its predecessor. The show's ability to create tension during zombie encounters and survivor confrontations remains its strong point. Regarding the possibility of Black Summer's return for Season 3, Netflix's official stance remains «Pending» as of June 17, 2021. Season 2 premiered on the streaming platform in June 2021, and despite the passage of two years, there has been no word about its future. Jamie King, a lead actor in the series, expressed optimism about Season 3's potential in an interview with Express. However, her remarks also implied that a third season might conclude the series. Neither Netflix nor The Asylum, the production company, provided comments regarding the show's future. The absence of a Season 3 renewal might stem from the show's limited global viewership and relative lack of popularity, especially in English-speaking regions like the US and UK. Despite briefly entering the US TV top ten from June 17 to July 2, 2021, Black Summer was later displaced by other shows. A global top-ten placement was not achieved, and the show's performance fell short of rival series like Lucifer.

G20's mandate can't advance if Global South concerns not met: S Jaishankar
G20 is to promote economic growth and development, and that cannot advance if the crucial concerns of the Global South are not addressed, external affairs minister S Jaishankar said on Sunday. «For a variety of reasons that range from scale, subsidy, technology, human resources & strategic choices, the Global South was reduced to being a consumer rather than a producer,» Jaishankar said in his address at the B20 Summit organised by CII ahead of the September 9-10 G20 Summit. «It is, however, an undeniable reality that the international system remains dominated by the Global North. This is naturally reflected in the composition of G20 as well.

Overhauling of delisting norm – a step towards the right direction
SEBI sub-group and came up with the proposal to overhaul the SEBI (Delisting of Equity Shares) Regulations, 2021 – the proposal is currently out for public comments. In addition to certain tweaks in respect of the counter-offer mechanism, computation of floor price and related reference date, the proposal seeks to provide an alternative to the long-standing Reverse Book Building (‘RBB’) mechanism. One look at the proposed draft is enough to realise the effort of SEBI to fine-tune the delisting mechanism to make it more efficient.Current scenario Currently, a delisting is considered successful when (a) the post-offer shareholding of the acquirer, along with the shares tendered by the public shareholders reaches 90% (‘90% Threshold’); and (b) the price discovered pursuant to RBB is acceptable to the acquirer. Where the RBB discovered price is not acceptable to the acquirer, the acquirer can make a counter-offer at a price that should not be lower than the book value of the company, but only if the 90% Threshold is met. Further, the RBB discovered price is the price at which the acquirer reaches 90% Threshold – thus, market has seen precedents where a shareholder holding big block bids at an exorbitant price, thereby making the deal unsustainable.
