WhatsApp information NCLT approves merger of Dalmia Cement's North East arm with Vinay Cement
Dalmia Bharat Limited on Thursday said that the National Company Law Tribunal (NCLT), Guwahati Bench, has approved a Scheme of Arrangement involving Dalmia Cement (North East) Limited and Vinay Cement Limited. The order, dated February 21, 2025, directed a demerger and transfer of the cement and mining business operations from Vinay Cement Limited, a subsidiary of Dalmia Cement, to Dalmia Cement (North East) Limited, another material subsidiary of the company. The Scheme, which comes into effect from the appointed date of March 31, 2023, was sanctioned under Sections 230 to 232 of the Companies Act, 2013. The parent company, Dalmia Bharat, is not a party to the Scheme, and no shares are set to be issued by or to the company as part of this arrangement. Both subsidiaries will continue to operate under the umbrella of the company post-approval, the cement major said in information to the exchanges.

Sarie Morton, a student at Matamata College (New Zealand), died Wednesday afternoon after being struck by a train near the intersection of Firth St and College St in Waikato. Her school mourned her tragic death in a Facebook post on Thursday by Matamata College board presiding member Craig Alexander and principal Dr Angela Sharples. «It is with deep sadness that we inform our school community of the sudden passing of one of our beloved students, Sarie Morton, following an incident after school yesterday. Our heartfelt condolences go out to Sarie’s family and friends during this incredibly difficult time,» the post read. KiwiRail is providing support to the train driver involved. Emergency services responded to the incident around 3:15 pm local time on Wednesday, but Sarie died at the scene of the accident. The school will remain open Thursday and Friday to provide support for those affected by the tragedy. Professional support services are available to anyone who needs them.

However, these countries have made the best progress on climate action and responsible consumption and production, the team said.
