France's Sanofi to buy US drugs project INBRX-101 for about $2.2 billion
French healthcare company Sanofi has agreed to buy the drug development project INBRX-101 from its parent company Inhibrx Inc for around $2.2 billion in a bid to boost its rare disease business. The two companies said in a joint statement on Tuesday that Inhibrx shareholders will get $30 per share in cash, one contingent value right (CVR) equal to $5, and 0.25 shares in New Inhibrx, a new publicly traded company that holds the takeover target's assets that are not related to INBRX-101.

European Free Trade Association (EFTA)—the four-nation trading block comprising Iceland, Liechtenstein, Norway, and Switzerland—are close to signing a trade agreement after both sides have reached an understanding on key issues, news agency PTI reported citing a senior official on Monday. "Following extensive negotiations, a shared understanding has been achieved on key issues during the ministerial meeting. Ongoing efforts are now focused on shaping the convergence that has emerged," the news agency quoted the official as saying Commerce and Industry Minister Piyush Goyal held a meeting recently with Swiss Federal Councillor Guy Parmelin in Mumbai.

Rebellion in the ranks: Zee Entertainment’s shareholders huddle to remove Punit Goenka, chairman Gopalan from board, to seek Sebi intervention
SEBI as part of its ongoing investigation against the key management personnel of ZEEL, namely Punit Goenka, CEO and MD, has questioned some of the erstwhile directors of Zee Entertainment Enterprises Ltd (ZEEL), asking them about the steps they took to protect the minority shareholder rights of the company. On Monday, Sony Group Corp terminated its proposed $10 billion merger — first announced in December 2021 — between its India operations and Zee to create the largest media giant in the country. Following the development, at least 6 institutional shareholders cumulatively owning over 30 per cent of ZEEL are believed to be planning to approach the board and stock market regulator SEBI in the next week, to call an extraordinary general meeting (EGM) of ZEEL and seek the removal of ZEEL chairman R Gopalan and Punit Goenka, CEO and MD of the company. Over 350 ZEEL retail shareholders too are planning to join forces and write to SEBI seeking its intervention to protect their shareholder rights.

Delhi High Court quashes CIC order on PM Cares Fund information
Delhi High Court on Monday quashed a Central Information Commission’s order (CIC) that asked the income tax authorities to furnish information and copies of documents submitted by the PM Cares Fund while applying for income tax exemptions. While allowing the income tax department’s appeal, Justice Subramonium Prasad ruled that CIC does not have the jurisdiction to direct furnishing of information provided for in Section 138 of the Income Tax Act and Section 138 (2) of the Income Tax Act prevails over Section 22 of the Right to Information Act (RTI Act). «In the present case, the question which arose was whether Section 138(2) of the IT Act which also contains a non-obstante clause would override Section 22 of the RTI Act or not. In view of the fact that Section 138(1)(b) of the IT Act mandates that information relating to an assessee can only be supplied subject to the satisfaction of Principal Chief Commissioner or Chief Commissioner or Principal Commissioner or Commissioner, as the case may be, it can be said that Section 138(2) of the IT Act would prevail over Section 22 of the RTI Act,» the Court held. Even if the CIC had the jurisdiction to direct the department to provide the information, the Commission's failure to give PM CARES notice of hearing would in itself have vitiated the order, the HC said. Mumbai-based activist Girish Mittal had sought details regarding the tax exemption granted to the PM Cares Fund in May 2020.
