Sebi notifies stricter delisting rules for non-convertible debt securities
will have to obtain permission from all holders of non-convertible debt securities within 15 working days of receiving the notification of delisting. The present rule allows entities to delist by giving a prior intimation to the stock exchange about the meeting of the board of directors, where the proposal for a voluntary delisting is considered. Unlike equity, wherein approval by a threshold majority is sufficient for approval of delisting, in the new framework, approval of 100 per cent of the debt security holders has been mandated for delisting of debt securities. This is because, unlike equity which is a perpetual instrument, listed debt securities have a finite term to maturity. In its notification issued on August 23, Sebi said the new framework for delisting of non-convertible debt securities would allow all listed non-convertible debt securities to be delisted voluntarily. However, entities would not be authorised to delist certain securities while selectively listing others. Also, it would not apply to the delisting of non-convertible debt securities in certain situations such as delisting as a consequence of any penalty or action initiated against the listed entity by stock exchanges; delisting pursuant to the redemption of the non-convertible debt securities. Further, the mechanism would not apply to the delisting of a listed entity's non-convertible debt securities that have been delisted under a resolution plan authorised under the Insolvency Code. In case of delisting pursuant to a resolution plan as per the provisions of the Insolvency Code, the details of delisting of non-convertible debt securities will be disclosed to the stock exchanges within one working day of the approval of the resolution plan

For privately owned scooters, the minimum age for riders is 12 (the government wants to raise that to 14), but the Paris rental operators said last November they would step up enforcement of a minimum age of 18 — after city officials warned their licenses were in jeopardy. They also must be parked in designated spots and riders are not allowed to go over 10 kilometres per hour in most parts of Paris — but many do anyway. In April, residents voted in a referendum to ban rental scooters, a move that will not impact privately owned devices.Barcelona and Montreal: outright bans A few cities before Paris have taken the same drastic measures with an outright ban. Barcelona outlawed rental scooters on public roads in 2018.

Haryana Assembly was briefly adjourned on Monday following an uproar as the opposition Congress raised the issue of the violence in Nuh and sought a probe monitored by a high court judge. Tiger Global sells entire stake in Zomato for Rs 1,123 crore via bulk deal
Tiger Global, through its affiliate Internet Fund III Pte, has exited food delivery platform Zomato by selling its entire stake via bulk deals on Monday. Under the transaction, the US hedge fund has offloaded 12.3 crore shares or 1.47% stake in the company on BSE at Rs 91.01 apiece, earning about Rs 1,123 crore. Marquee funds, including Axis Mutual Fund, Goldman Sachs, Citigroup, Morgan Stanley Asia, and Societe Generale were among the buyers in the transaction. Meanwhile, another Russia-based fund Apoletto Asia has sold 3.19 crore shares in a separate deal on NSE, according to exchange data. Earlier, it was reported that Japanese tech giant SoftBank was likely to offload Zomato shares as the lock-in for the post-Blinkit deal ended on Friday. Zomato issued fresh equity shares to all the selling shareholders of Blinkit as consideration for the M&A last year.

Adani group by the market regulator has uncovered violations of rules on disclosures by listed entities and limits on the holdings of offshore funds, two sources with direct knowledge of the matter said. The Securities and Exchange Board of India (SEBI) launched the inquiry after U.S.-based Hindenburg Research raised governance concerns around the Gautam Adani-led group, shaving more than $100 billion from the market value of its companies. The ports-to-power conglomerate had denied wrongdoing in January. The sources, who sought anonymity as they were not authorised to speak to the media, characterised the violations as being of a «technical» nature that would attract no more than a monetary penalty once the investigation is complete, however. India's Supreme Court, which is overseeing SEBI's investigation of the Adani group, is set to hear the matter on Tuesday. But SEBI has no plans to make the report public until the regulator has passed its orders on the Adani investigation, one of the sources said. On Monday the group did not respond to a Reuters request for comment on the regulator's findings. SEBI also did not respond to an email on the matter. On Friday, SEBI told the Supreme Court it had very nearly completed its investigation into the Adani group's dealings. One key finding had been violations in disclosing certain related-party transactions, the sources said. «Transactions with a related party need to be identified and reported,» said one of them.
