Dish TV India's effective board strength is down to three directors, as the shareholders have rejected the company's proposal to appoint four directors at its extraordinary general meeting (EGM) on December 22.
The direct-to-home (DTH) company's shareholders rejected ordinary resolutions for Rajesh Sahni and Virender Kumar Tagra's appointment as non-executive, non-independent directors.
Special resolutions to nominate Aanchal David as an independent director and to reappoint Shankar Aggarwal as an independent director were also defeated.
Over 71% of the votes were polled against the four resolutions at the EGM, the company said in a regulatory filing.
Dish TV also informed that the appointment of Sunil Khanna as an independent director and Ravi Bhushan Puri as executive director will be effective December 22, since the number of directors on the board has fallen below the minimum statutory limit of three directors.
Earlier, the company said that the appointments would become effective on the date of receipt of the approval of the Ministry of Information and Broadcasting (MIB) or the date on which the number of directors on the board falls below the statutory minimum number of three directors, whichever is earlier.
Khanna and Puri's appointment, subject to shareholder approval, will be valid until September 30, 2024.
Apart from Khanna and Puri, the board also includes Dr. Rashmi Aggarwal, a non-executive, independent female director.
Dish TV named Aanchal David as the independent director, with effect from September 26.
