Walt Disney (NYSE:DIS) officially announced its acquisition of Comcast's (NASDAQ:CMCSA) one-third stake in the streaming service Hulu, in a widely anticipated development.
The deal includes Disney paying Comcast's NBCUniversal approximately $8.61 billion by December 1st, which represents the guaranteed minimum value agreed upon in 2019.
Additionally, Disney may make further payments based on Hulu's equity value as of September 30th, with the appraisal process expected to conclude next year.
“If the equity fair value is finally determined to be greater than the guaranteed floor value, Disney will pay NBCU an amount equal to NBCU’s equity ownership percentage of the equity fair value net of the guaranteed purchase price within 45 days of such final determination,” the company said in a filing.
